Terms of Service

These Terms of Service ("Terms") govern your access to and use of Demodokos Foundry ("Service"), a desktop AI music creation application operated by Compunect GmbH ("Company," "we," "us," "our"). By using the Service, you agree to be bound by these Terms.

1. Agreement to Terms

By downloading, installing, or using Demodokos Foundry, you confirm that you:

• Are at least 16 years of age, or have obtained parental or guardian consent
• Have full legal capacity to enter into binding contracts
• Accept these Terms and agree to comply with all applicable laws and regulations

If you do not agree to these Terms, you must discontinue use of the Service immediately.

2. Service Description

Demodokos Foundry is a locally-installed AI-powered music creation suite that enables:

• Music Generation: Create original compositions from text prompts, lyrics, and creative direction
• Audio Production: Edit, arrange, mix, and master AI-generated and uploaded audio
• Stem Separation: Isolate vocals, drums, bass, and other elements from existing tracks
• Professional Integration: API access and automation capabilities for workflow integration

All AI processing occurs locally on your device. Your creative work never leaves your computer unless you choose to share it.

3. Account Requirements

• Registration requires accurate and complete information; you must update this information if it changes
• Account credentials are personal and non-transferable; sharing is prohibited
• You are solely responsible for maintaining the confidentiality of your account
• Report unauthorized access immediately to security@demodokos.com
• We reserve the right to suspend accounts that violate these Terms

4. Subscription Plans and Billing

4.1 Service Tiers

• Free: Core features with usage limitations; personal, non-commercial use only
• Creator: Full feature access, commercial use rights, priority updates
• Professional: All Creator features plus API access, automation tools, and enterprise support

4.2 Billing and Payment

Paid subscriptions are billed in advance on a monthly or annual basis. All prices are in USD and include applicable VAT for EU customers. Payments are processed securely through PayPal; we do not store payment card information.

4.3 Lifetime Licenses

Lifetime licenses provide perpetual access to the features available at the time of purchase. Significant new feature additions may be offered as separate upgrades.

4.4 Cancellation

You may cancel your subscription at any time through your account dashboard. Upon cancellation:

• No further charges will be made to your payment method
• Your paid features remain active until the end of the current billing period
• After the billing period ends, your account reverts to the Free tier

4.5 Refund Policy

All purchases, including subscription payments and lifetime licenses, are final and non-refundable. Because Demodokos Foundry is a digital service that provides immediate access upon payment, you acknowledge and agree that:

• Performance of the Service begins immediately after your purchase is confirmed
• You expressly consent to waive any statutory right of withdrawal (including the EU 14-day withdrawal period under Directive 2011/83/EU) upon commencement of the Service
• Subscription fees are not refunded or prorated upon cancellation. You retain access through the remainder of your paid period
• Lifetime license fees are non-refundable once the license has been activated

If you are unsure whether Demodokos Foundry is right for you, we encourage you to use the Free tier before purchasing.

5. Content Ownership and Rights

5.1 Your Creative Assets

You retain complete ownership of:

• Prompts, lyrics, and creative direction you provide
• Audio files you upload or import
• All creative decisions, arrangements, and productions you create

5.2 AI-Generated Content Rights

• Free Tier: Personal, non-commercial use only
• Creator/Professional Tiers: Full commercial rights including distribution, licensing, and monetization

You bear sole responsibility for ensuring your generated content does not infringe upon existing intellectual property rights.

5.3 Local Processing

Demodokos Foundry processes all content locally on your device:

• Prompts, creative inputs, and generated outputs are never transmitted to our servers
• You maintain exclusive control over your creative work
• We have no access to your content unless you explicitly share it

6. Acceptable Use Policy

You agree not to use the Service to:

• Generate content that infringes copyrights, trademarks, or other intellectual property rights
• Create material promoting violence, hate, discrimination, or illegal activities
• Produce unauthorized impersonations or deepfakes of real persons
• Circumvent, disable, or interfere with security or access controls
• Redistribute, sublicense, or resell Service access or API credentials
• Abuse service quotas through automated scripts or excessive requests
• Reverse-engineer, decompile, or extract proprietary algorithms or models
• Interfere with Service operation or degrade other users' experience

Violations may result in immediate termination without refund and potential legal action.

7. AI Content Verification Requirements

User Responsibility: AI-generated content requires human review before publication or commercial distribution. You must verify that outputs:

• Do not reproduce licensed, copyrighted, or trademarked material
• Do not infringe existing intellectual property rights
• Do not contain illegal, defamatory, or prohibited content
• Meet quality and accuracy standards for your intended use

Technology Disclosure:

• Music Engine: Optimized AceStep 1.5 (MIT License)
• Language AI: Strongly guided Qwen 4B, 8B, and 14B models

The AI models integrated into Demodokos Foundry are open-source models not developed or trained by Compunect GmbH. We make no representations regarding the datasets or methods used to train these models. Any claims relating to model training practices should be directed at the respective model publishers.

No Originality Guarantee: While our AI is engineered to create original compositions, we cannot guarantee outputs will not resemble existing works. You must verify originality and obtain necessary clearances before commercial release.

8. Intellectual Property

• The Service software, user interface, documentation, and underlying technology are protected intellectual property of Compunect GmbH
• "Demodokos" and "Foundry" are registered trademarks
• You may not reproduce, modify, distribute, or create derivative works from our software without written permission
• API users may develop integrations following published guidelines

8.1 Copyright Claims and Takedown Requests

If you believe that your copyrighted work has been infringed through the use of our Service or its underlying AI models, please contact us at support@demodokos.com with the following information:

• Description of the copyrighted work you believe has been infringed
• A description of the alleged infringing activity and the basis for your claim
• Your contact information (name, address, email, phone number)
• A statement that you have a good-faith belief that the use is not authorized
• A statement, under penalty of perjury, that the information provided is accurate and that you are the rights holder or authorized to act on their behalf

Note: Because Demodokos Foundry processes content locally on users' devices, we do not host, store, or have access to user-generated content. Takedown requests relating to content created by individual users should be directed to the user responsible for that content.

9. Third-Party Services

The Service integrates with third-party platforms including PayPal for payment processing. These services operate under their own terms and privacy policies. We are not responsible for third-party service availability, security, or policies.

10. Warranty Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO:

• IMPLIED WARRANTIES OF MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT OF THIRD-PARTY RIGHTS
• UNINTERRUPTED OR ERROR-FREE OPERATION

AI outputs may produce unexpected results. You are solely responsible for evaluating and validating all generated content.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• Our aggregate liability shall not exceed amounts paid by you in the 12 months preceding any claim
• We shall not be liable for indirect, incidental, special, consequential, or punitive damages
• We shall not be liable for loss of profits, revenue, data, or business opportunities

Certain jurisdictions do not permit limitation of liability. Where prohibited, these limitations apply to the fullest extent allowed by law.

12. Indemnification

You agree to defend, indemnify, and hold harmless Compunect GmbH, its officers, directors, employees, and agents from any claims, damages, costs, and expenses (including reasonable attorney fees) arising from:

• Your use or misuse of the Service
• Content you create, distribute, or commercialize
• Your violation of these Terms
• Your infringement of any third-party rights

13. Service Modifications

We reserve the right to:

• Modify, enhance, or discontinue features with reasonable notice
• Adjust pricing with 30 days advance notice (existing subscriptions honored through current term)
• Update these Terms (material changes communicated via email)

Continued use following changes constitutes acceptance of updated Terms.

14. Account Termination

We may suspend or terminate your account for:

• Material violation of these Terms
• Fraudulent, abusive, or illegal activity
• Extended account inactivity (12+ months)
• Non-payment of subscription fees

Upon termination:

• All Service access rights terminate immediately
• Account data may be deleted after 30 days
• You may request data export prior to deletion

15. Governing Law and Dispute Resolution

Governing Law: These Terms shall be governed by and construed in accordance with the laws of the European Union and its member states, without regard to conflict of law principles.

Jurisdiction: Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the competent courts within the European Union.

Online Dispute Resolution: The European Commission provides a platform for online dispute resolution: ec.europa.eu/consumers/odr. We are not obligated to participate in consumer arbitration proceedings.

16. Severability

If any provision of these Terms is determined to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to render it valid and enforceable.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the complete agreement between you and Compunect GmbH regarding your use of Demodokos Foundry, superseding all prior negotiations, representations, or agreements.
